TERMS & CONDITIONS OF TRADING AS OF  JULY 2005.

 For the purposes of this document the word “Speed”, “we” or “us”  means Speed Intercom & Security Pty. Ltd.       ABN48 090 555 178 

ACCEPTANCE OF ORDERS

The acceptance of a purchase order by Speed to supply equipment is only accepted under Speed's terms and conditions.  Use of the purchaser’s order number is an aid to the purchaser’s accounting system only.  Any terms and conditions that are attached to purchase orders received by Speed will not be accepted in any form.  Receipt of the goods by the purchaser signifies acceptance of our terms and conditions. 

PRICING

Unless otherwise stated prices are trade prices, and do not include GST.  All prices are ex our Brisbane store.  Delivery charges if applicable will be added.  Prices are subject to change without notice. The price payable by the customer will be the price in effect at the date of delivery. 

FREIGHT

An overnight delivery service to most centres is available.  Please note that we will not deliver to other than your known address.  The goods shipped are at the customer's risk from the time they leave our store and, in no circumstances, shall Speed accept any liability in relation to transport arranged on your behalf.  The customer must insure the goods ex our store in the joint names of the customer and Speed until such time as the goods are paid for in full and title has passed (see “Title” below). Proof of despatch from our store by carrier shall be provided by the consignment number.  The freight charge will be at customer’s expense.

CREDIT TERMS

Payment terms for credit accounts are strictly 30 days from invoice.  Statements are issued as an aid to your accounting and late or non receipt of statements will not be accepted as reason for late payment of your account.  Payment is due 30 days from invoice NOT statement.  Credit cards are not accepted for account payments.

GUARANTEE

Goods are guaranteed against manufacturing fault for 12 months from invoice date.  We reserve the right to replace or repair the goods following inspection by the manufacturer or their agent.  Goods cannot be replaced until returned to our store for our or the manufacturer’s inspection.  Goods must be accompanied with documentation (i.e. invoice or delivery dockets) supporting the warranty claim.  Any guarantee will be voided if the goods are not used in accordance with the manufacturer’s specifications.

G.S.T

Prices are subject to GST at the rate of 10% or at the rate applicable at the time of purchase.  Prices listed in this catalogue do not include GST. The customer must pay the GST to Speed.

RETURN OF GOODS FOR CREDIT

Goods are not supplied on a sale or return basis.  If at our absolute discretion we agree to accept goods for credit then a handling fee of up to 20% will be deducted from the credit.  Freight charges will not be credited.  The cost of the freight on goods being returned for credit is at the customer’s cost.  Goods must be in original damage free packaging, and include all product documentation and accessories as originally supplied.  Goods supplied on special orders are not returnable.  We will indicate when goods are on "special order". Goods must be returned for credit within 30 days from invoice date.

LIABILITY

Our liability is limited to the replacement or repair of the goods as set out in “Guarantee” above and Speed shall not be subject to any action or liability (including consequential loss or damage or loss of profits) by reason of delays, faulty materials or workmanship, negligence or any act, matter or thing done permitted or omitted by the company beyond replacement or repair.  The company will not accept responsibility for damages or injuries due to the malfunction or misuse of equipment or goods supplied by the company.  The company will not accept responsibility for damages or injuries caused by incorrect installation or incorrect application of the products.

TITLE

a.       Title to all goods supplied by us remains with Speed and does not pass to the customer until full payment is made by the customer for all goods delivered to it by Speed.

b.       Prior to title to such goods passing to the customer, the customer agrees to hold any goods delivered to it by Speed as a bailee.

c.      Notwithstanding sub paragraphs (a) and (b), the customer may sell any goods to a third party in the course of business and deliver them to that party, providing that:

          (i)     where the customer is paid by that party, the customer holds the whole of the proceeds of the sale on trust for Speed:and

          (ii)     where the customer is not paid by that party, the customer agrees to assign, at the option of Speed, its claim  against that party to Speed upon receiving notice from Speed that it requires such assignment.

INTELLECTUAL PROPERTY

The sale of the goods to the customer will not confer on or transfer to the customer any intellectual property comprised in the goods.

CANCELLATION

Any cancellation of an order will only be effective if received by us within 48 hours of receipt of the order and only if this is prior

to the despatch of the goods.
